Terms of Sale

Parties & Applicability

These Terms of Sale ("Terms") govern all sales transactions between Revuelt Garages LLC, a Texas limited liability company ("Seller"), and the registered trade account holder ("Buyer"). These Terms apply to all orders placed via phone, email, website form, or any other method.

By placing an order, Buyer agrees to be bound by these Terms. If you do not agree, do not place an order.

Trade Account Requirement

All purchases require an active, approved trade account. To qualify, Buyers must:

• Be a licensed garage door contractor, repair company, or related trade business
• Provide a valid Texas Sales and Use Tax Resale Certificate (or equivalent for out-of-state buyers)
• Provide verifiable business name and contact information

Revuelt Garages reserves the right to decline or revoke any trade account at its sole discretion.

Pricing & Payment Terms

All prices are quoted exclusive of applicable taxes. B2B wholesale buyers with valid resale certificates are exempt from Texas sales and use tax on qualifying purchases. It is Buyer's responsibility to provide a valid resale certificate before the first order.

Unless otherwise agreed in writing, payment is made in two installments: a fifty percent (50%) deposit due at the time of order, with the remaining balance due upon delivery. The deposit becomes non-refundable once Seller places the corresponding order with its supplier, as set forth in the applicable Per-Order Purchase Agreement. All orders are subject to a five hundred dollar ($500) minimum. Net-30 terms may be offered at Seller's discretion after Buyer has completed at least two (2) paid orders. Seller reserves the right to require prepayment at any time.

Accepted payment methods: ACH bank transfer, major credit/debit cards via QuickBooks Payments. A processing fee of 1% (ACH, capped at $10) or 2.99% (card) applies.

Delivery & Risk of Loss

Products are sourced on a made-to-order basis. Orders are aggregated monthly with a cutoff on the 25th of each month. First orders typically ship within eight to ten (8–10) weeks of order confirmation; timing for subsequent orders will be confirmed at the time of order, consistent with the applicable Per-Order Purchase Agreement. Delivery within the Dallas–Fort Worth metro area and scheduling will be confirmed at time of order.

Risk of loss and title to goods passes to Buyer upon delivery to the Buyer's confirmed delivery address or upon Buyer's pickup of goods from Seller's facility, whichever occurs first. Seller is not responsible for loss, damage, or theft of goods after delivery.

Delivery times are estimates only. Seller is not liable for delays caused by circumstances beyond its reasonable control.

Inspection & Returns

Buyer is responsible for inspecting all goods at the time of delivery. Claims for shortages, visible damage, or incorrect items must be reported to orders@revueltgarages.com within 48 hours of delivery. Failure to report within this window constitutes acceptance of the goods as delivered.

Returns for defective products are accepted within 30 days of delivery, subject to the following conditions:

• Product must be unused and in original, undamaged packaging
• A return authorization must be obtained from Seller prior to returning any goods
• Products that have been installed, modified, or damaged after delivery are not eligible for return
• Custom-ordered or special-request items are non-refundable unless defective

Approved returns will be credited to Buyer's account or refunded via original payment method at Seller's discretion.

Warranty

Seller warrants that products are free from manufacturing defects at the time of delivery. This warranty does not cover:

• Normal wear and tear
• Damage caused by improper installation, misuse, or modifications
• Damage caused by environmental conditions after delivery
• Products installed in applications outside their rated specifications

SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, BEYOND THOSE EXPRESSLY STATED HEREIN.

Limitation of Liability

IN NO EVENT SHALL REVUELT GARAGES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SALE OR USE OF ITS PRODUCTS, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE, PERSONAL INJURY, LOST PROFITS, OR BUSINESS INTERRUPTION.

Seller's total liability to Buyer for any claim arising from a sale shall not exceed the purchase price paid by Buyer for the specific product(s) giving rise to the claim.

Buyer Indemnification (Hold Harmless)

Buyer agrees to defend, indemnify, and hold harmless Revuelt Garages LLC, its members, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Buyer's installation, use, or resale of products purchased from Seller
• Any improper installation or application of products by Buyer or Buyer's customers
• Buyer's violation of these Terms or any applicable laws or regulations

Resale Certificate & Tax Compliance

By providing a Texas Sales and Use Tax Resale Certificate (Form 01-339) or equivalent, Buyer certifies that the purchased items will be resold or incorporated into work performed for customers in the ordinary course of Buyer's business. Buyer assumes full responsibility for proper tax collection and remittance to the applicable taxing authority on all downstream sales.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Tarrant County or Dallas County, Texas, and both parties consent to the personal jurisdiction of such courts.

In the event of a dispute, the parties agree to attempt good-faith resolution through direct negotiation before initiating any legal proceedings.

Amendments

Revuelt Garages reserves the right to modify these Terms at any time. Updated Terms will be posted at revueltgarages.com/terms-of-sale. Continued use of Seller's services after posting constitutes acceptance of the revised Terms.
